Tender & Contract Analyser
Upload a tender, contract or work order and get the clauses that move money and risk — LD, retention, payment, escalation, DLP, guarantees — each flagged, before you bid or sign.
Read the conditions of contract before you price them. The AI reads the document; every risk level, threshold and rupee figure is worked out by fixed rules based on CPWD, GFR and MSMED practice, so you can argue with a number rather than with a machine.

What it reads
- The document you upload — PDF, JPG, PNG, WEBP or TXT, up to 20 MB. It is read once and not stored.
- The contract value and planned duration, if you type them.
- Nothing else. It does not look at your records.
It looks for 13 clauses: liquidated damages, retention / security deposit, payment terms, mobilisation advance, performance security, price escalation, defects liability period, completion period, variation / deviation limit, termination for convenience, dispute resolution, taxes (GST) and insurance.
What you get
- Key figures: Critical, High risk, Medium risk, Clauses found (out of 13), and with a contract value, Maximum LD and Money tied up.
- Clause register — Clause, Found, What it says, Risk.
- Money at stake — with a contract value.
- Questions to raise before bidding — one per flag.
- What the document says — short quotes, with page hints.
The rules
| Clause | Flagged when | Risk |
|---|---|---|
| Liquidated damages | No cap found | Critical |
| Liquidated damages | Cap above 10% of contract value (CPWD caps at 10%) | High |
| Liquidated damages | Rate above 1% a week (a per-day rate is counted × 7) | Medium |
| Retention | Above 10% | High |
| Retention | Above 5% | Medium |
| Payment terms | More than 45 days to pay (the MSMED limit you pay your own suppliers in) | High |
| Payment terms | Pay-when-paid | High |
| Price escalation | None, or a firm price, on a job longer than 12 months | Medium |
| Defects liability | More than 24 months | High |
| Defects liability | More than 12 months | Medium |
| Performance security | Above 10% (the GFR ceiling) | Medium |
| Mobilisation advance | Interest above 10% a year | Medium |
| Termination for convenience | The employer may end the job without your default | Medium |
| Taxes | Rates inclusive of GST | Low |
| Any clause | Not found in the document | Info — confirm |
The job length comes from Planned duration, months if you type it, else from the completion period in the document.
Money at stake, given a contract value: maximum liquidated damages (or "Uncapped"), liquidated damages per week of delay, retention held at completion, performance security, mobilisation advance available and its interest per year, and money tied up (retention plus security).
Run it
- In the sidebar, open Workspaces › Commercial and click Tender & Contract Analyser under AI agents.
- Drop the document into Document. Upload the volume with the general and special conditions of contract (GCC / SCC), not only the BOQ or drawings.
- In Document, choose tender, contract or work order.
- Type the Contract value, ₹ (optional — sizes the money at stake) and Planned duration, months (optional).
- Click Run agent.
Safeguards
- Advice only. It creates nothing and writes nothing to your records.
- Your document is read once for the run and never stored.
- Figures read from the document that look implausible are ignored and listed, so you check those clauses by hand.
- A clause harsher than the norm is not illegal. It is a price you should know you are paying.
A scanned PDF is read from its first page only, and a very long document only in part — the result says so in both cases. Upload a PDF with selectable text, or photograph the conditions pages one at a time.
Tips
- Always type the contract value: "LD cap 15%" means more as "₹37,50,000 at stake".
- Take Questions to raise before bidding to the pre-bid meeting.
- "Not found — confirm" often means the clause sits in another volume. Upload that volume too.
